By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. User Eligibility

You must be at least 18 years old to use our Service. By using VendSpin, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into binding contracts
• You will comply with all applicable laws and regulations
• All information you provide is accurate and current

3. Account Registration

5. Orders and Payments

5.1 Placing Orders

When you place an order, you are making an offer to purchase products from the vendor. All orders are subject to acceptance by the vendor. We reserve the right to refuse or cancel orders for any reason, including:

• Product unavailability
• Pricing errors
• Suspected fraud
• Violations of these Terms

5.2 Pricing

All prices are set by vendors and displayed in the applicable currency. Prices are subject to change without notice. The price charged will be the price displayed at the time you place your order.

5.3 Payment Methods

We accept:

• Cash on Delivery (COD)
• Credit/Debit Cards (processed securely through Stripe)

By providing payment information, you represent that you are authorized to use the payment method.

5.4 Delivery Fees

Delivery fees vary by vendor, distance, and order size. All applicable fees will be clearly displayed before you confirm your order.

6. Delivery

VendSpin facilitates delivery from vendors within a 5km radius of your location. Delivery times are estimates and not guaranteed. We are not liable for delays caused by:

• Weather conditions
• Traffic congestion
• Acts of God
• Vendor delays
• Incorrect delivery information provided by you

7. Cancellations and Refunds

7.1 Order Cancellation

You may cancel an order before it is accepted by the vendor. Once accepted, cancellation is subject to vendor approval. Some vendors may charge cancellation fees.

7.2 Refunds

Refunds are handled on a case-by-case basis. Valid reasons for refunds include:

• Incorrect items delivered
• Damaged or spoiled products
• Non-delivery of order

To request a refund, contact us at help@vendspin.com within 24 hours of delivery.

8. Vendor Responsibilities

Vendors on VendSpin are independent third parties. VendSpin is a platform connecting buyers and vendors. Vendors are responsible for:

• Product quality and accuracy of descriptions
• Inventory management and availability
• Compliance with applicable laws and regulations
• Food safety standards (for food vendors)
• Accurate pricing

9. Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose
• Violate any applicable laws or regulations
• Impersonate another person or entity
• Harass, abuse, or harm other users or vendors
• Attempt to gain unauthorized access to our systems
• Use automated systems (bots, scrapers) without permission
• Submit false or misleading information
• Leave fake reviews or ratings
• Engage in fraudulent activity
• Interfere with the Service's operation

10. Intellectual Property

All content on VendSpin, including text, graphics, logos, images, software, and design, is owned by VendSpin LLC or our licensors and protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or distribute our content without permission
• Use our trademarks or branding without authorization
• Reverse engineer or decompile our software
• Create derivative works based on our Service

11. User Content

You may submit reviews, ratings, and other content ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content in connection with the Service.

You represent that your User Content:

• Does not violate any third-party rights
• Is not defamatory, obscene, or illegal
• Is accurate and honest (for reviews)
• Does not contain viruses or malicious code

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENDSPIN LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

• Loss of profits or revenue
• Loss of data
• Food poisoning or allergic reactions
• Vendor negligence or misconduct
• Delivery delays or errors

Our total liability shall not exceed the amount you paid for the order in question.

15. Indemnification

You agree to indemnify and hold harmless VendSpin LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Violation of these Terms
• Violation of any third-party rights
• Your User Content

16. Termination

We may suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent activity
• Abusive behavior
• Non-payment
• Any reason at our discretion

You may terminate your account at any time by contacting us. Termination does not relieve you of obligations for pending orders.

17. Dispute Resolution

17.1 Informal Resolution

17.2 Arbitration

Any disputes that cannot be resolved informally will be settled through binding arbitration in accordance with the rules of the American Arbitration Association.

17.3 Class Action Waiver

You agree that any arbitration will be conducted on an individual basis and not as a class action.

18. Governing Law

These Terms are governed by the laws of the United States and the state where VendSpin LLC is registered, without regard to conflict of law principles.

19. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Updating the "Last Updated" date
• Sending you an email notification (if applicable)

Continued use of the Service after changes constitutes acceptance of the updated Terms.

20. Severability
